Terms of Service

These Terms of Service ("Terms") govern your use of the Coaches Toolbox application (the "Service") operated by Ajito LLC ("Ajito," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update it as needed.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or other users' data
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated systems to scrape or extract data from the Service
  • Share your account credentials with others

4. Calendar Data and Permissions

The Service requires read-only access to your Google Calendar or Microsoft 365 calendar to provide its features. By connecting your calendar, you grant us permission to:

  • Read your calendar events, including titles, times, attendees, and locations
  • Classify your meetings using AI-powered analysis
  • Store calendar data securely for analysis and reporting

You may revoke calendar access at any time through the Service's Settings page or through your Google/Microsoft account settings.

5. Coach-Client Relationships

Coaches may invite clients to use the Service. By accepting a coach's invitation, you consent to sharing certain data with your coach, including calendar statistics, goals, and meeting classifications. The specific data shared is described in our Privacy Policy.

6. Subscription and Payment

Certain features require a paid subscription. Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We process payments through Stripe and do not store your payment card information directly.

7. Free Trial

We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue using premium features. We will notify you before the trial ends.

8. Intellectual Property

The Service, including its design, code, AI models, the Ajito Leadership Competency Framework, and all related content, is owned by Ajito LLC and protected by copyright, trademark, and other intellectual property laws. You retain ownership of your data; by using the Service, you grant us a limited license to process your data as described in these Terms and our Privacy Policy.

9. AI-Generated Content

The Service uses artificial intelligence to classify meetings and generate insights. AI-generated content is provided for informational purposes only and should not be relied upon as professional advice. You are responsible for reviewing and verifying any AI-generated classifications or recommendations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AJITO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Ajito LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time through the Service's Settings page. Upon termination, your right to use the Service ceases immediately.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
